Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and LeedSignal ("Company," "we," "us," or "our") governing your access to and use of the LeedSignal platform, website, and related services (collectively, the "Service").

By creating an account, accessing, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

2. Description of Service

LeedSignal is a software-as-a-service (SaaS) lead generation platform that:

• Monitors publicly available content on social media platforms (Reddit, Twitter/X, LinkedIn) for buying intent signals
• Uses artificial intelligence to analyze and score potential leads based on their likelihood to purchase
• Provides a dashboard to view, filter, and manage identified leads
• Delivers leads through automated daily scans and on-demand manual scans

The Service is designed for business-to-business (B2B) use cases and is intended for businesses seeking to identify potential customers through public social media activity.

3. Account Registration and Security

3.1 Account Creation

To access the Service, you must create an account by providing accurate, current, and complete information. You may register using your email address or through Google Sign-In. You are responsible for maintaining the accuracy of your account information.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to:

• Keep your password confidential and secure
• Notify us immediately of any unauthorized access or security breach
• Not share your account credentials with third parties
• Log out from your account at the end of each session on shared devices

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time if we reasonably believe you have violated these Terms or engaged in fraudulent, illegal, or harmful activities.

4. Subscription Plans and Pricing

4.1 Plans

LeedSignal offers the following subscription plans:

• Free Plan: 20 credits upon registration, limited features, no recurring charges
• Starter Plan: €19/month - 500 credits per month, standard features
• Pro Plan: €79/month - 2,000 credits per month, all features

Credits are consumed when qualified leads (score at least 60) are delivered. Unused credits do not roll over to the next billing period unless otherwise specified.

4.2 Billing

Paid subscriptions are billed in advance on a monthly basis. By subscribing to a paid plan, you authorize us to charge your payment method automatically each billing cycle. All payments are processed securely through Stripe.

4.3 Price Changes

We reserve the right to modify pricing at any time. Price changes will be communicated at least 30 days in advance and will take effect at the start of your next billing cycle. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Refunds and Cancellations

5.1 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will retain access to paid features until the end of the period for which you have paid.

5.2 Refunds

Due to the nature of digital services, we generally do not offer refunds for subscription payments. However, we may consider refund requests in the following circumstances:

• Technical issues that prevented you from using the Service for an extended period
• Accidental duplicate charges
• First-time subscribers within 7 days of purchase who have not consumed any credits

Refund requests should be submitted to contact@leedsignal.com within 14 days of the charge.

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service for any illegal purpose or to violate any applicable laws or regulations
• Harass, spam, or send unsolicited communications to leads obtained through the Service
• Attempt to access, scrape, or collect data from the Service through automated means (bots, scripts, scrapers) beyond normal API usage
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Share, resell, or redistribute leads or data obtained through the Service to third parties
• Create multiple accounts to circumvent usage limits or gain unfair advantages
• Impersonate any person or entity or misrepresent your affiliation
• Use the Service to collect sensitive personal information (health data, financial information, etc.) without proper consent
• Interfere with or disrupt the Service or servers connected to the Service
• Violate the terms of service of third-party platforms (Reddit, Twitter/X) when acting on leads

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its original content, features, functionality, and underlying technology, is owned by LeedSignal and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written consent.

7.2 Your Content

You retain ownership of any content you submit to the Service (project configurations, keywords, etc.). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and store that content solely for the purpose of providing the Service to you.

7.3 Feedback

If you provide suggestions, ideas, or feedback about the Service, you agree that we may use such feedback without any obligation to compensate you, and we will own all rights to any improvements or features developed based on your feedback.

8. Third-Party Services

The Service integrates with and relies on third-party services including:

• Reddit and Twitter/X: For accessing publicly available content
• AI analysis provider: For AI-powered lead analysis
• Firebase: For authentication and data storage
• Stripe: For payment processing

We are not responsible for the availability, accuracy, or reliability of these third-party services. Changes to third-party APIs or terms may affect Service functionality. We will make reasonable efforts to adapt to such changes but cannot guarantee uninterrupted service.

9. Disclaimers and Limitations of Liability

9.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 No Guarantee of Results

We do not guarantee that leads identified through the Service will result in sales, conversions, or any specific business outcomes. Lead scores are AI-generated estimates based on publicly available data and should be used as one factor in your sales process.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEEDSIGNAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Unauthorized access, use, or alteration of your data
• Any actions taken based on leads obtained through the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless LeedSignal, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any actions you take based on leads obtained through the Service.

11. Dispute Resolution

11.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at contact@leedsignal.com to attempt to resolve the dispute informally. We will attempt to resolve disputes within 30 days of receiving notice.

11.2 Arbitration

Any dispute not resolved informally shall be resolved through binding arbitration in accordance with the rules of the International Chamber of Commerce (ICC). The arbitration shall take place in Paris, France, and shall be conducted in English.

11.3 Class Action Waiver

You agree to resolve any disputes on an individual basis and waive any right to participate in class actions or class-wide arbitration.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the courts located in Paris, France.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or prominent notice on the Service at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and LeedSignal regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
